Terms, disclaimers & risk disclosure
The not-an-investment-advisor page.
Jeff (this website) is a personal experiment. It is not investment advice, not a research-analyst report under SEBI's definition, and not a substitute for your own thinking. Read this page before you act on anything the tool says.
1. Who operates this site
This site (jeff.upamanyuacharya.com) is operated as a personal project by Upamanyu Acharya, an individual resident in Mumbai, Maharashtra, India ("I", "me", "the operator"). No company, partnership, LLP, or other legal entity sits behind the site. For contact details, see Section 19 below.
2. What this service is — and is not
Jeff is an AI-powered tool that turns a publicly-traded stock ticker into a structured analytical write-up. It does this by running a sequence of large-language-model (LLM) calls that read from public market-data APIs and the public web.
Jeff is not:
- An investment recommendation, advisory, portfolio-management, or research-analyst service.
- A solicitation to buy, sell, hold, subscribe to, or transact in any security in any jurisdiction.
- A regulated financial-product, broker-dealer, RIA, or financial-planning service.
- An offer or distribution of any product or service in any jurisdiction where such offer/distribution would be unlawful.
3. Regulatory status under Indian law
I am not registered with the Securities and Exchange Board of India (SEBI) as a Research Analyst under the SEBI (Research Analysts) Regulations, 2014, nor as an Investment Adviser under the SEBI (Investment Advisers) Regulations, 2013, nor as a Portfolio Manager under the SEBI (Portfolio Managers) Regulations, 2020. I am not a member of any recognized stock exchange and do not hold any registration or license from SEBI, RBI, IRDAI, PFRDA, or any other Indian financial-services regulator.
Jeff's output is therefore best understood as informational content for personal, educational, and non-commercial use. It is not a "research report" within the meaning of the SEBI (Research Analysts) Regulations, 2014, because (a) I am not an analyst as defined there, (b) I do not maintain or publish such reports in any public capacity, and (c) the content is generated on-demand from public sources by an AI model and is not "research" in the regulated sense.
If you want personalized investment advice, please consult a SEBI-registered Investment Adviser. A list is maintained by SEBI at www.sebi.gov.in.
4. Nothing here is investment advice
Verdicts (BUY / SELL / HOLD), conviction scores, price targets, scenarios, peer comps, multiples, and all other numbers Jeff outputs are generic informational content generated by an AI model. They are not tailored to your financial situation, risk tolerance, investment objective, tax position, residency, time horizon, or any other personal circumstance.
Use Jeff as a starting point for your own research, never as the conclusion. The decision to buy, sell, hold, short, or do nothing about any security is entirely your own. You are solely responsible for the consequences of that decision, including any losses.
5. Specific risks of AI-generated analysis
Jeff is built on top of large language models served via third-party APIs. These models have known limitations:
- Hallucination. The model can fabricate plausible-sounding numbers, names, or relationships. Jeff is designed to ground each figure in a live API response, but this is best-effort, not foolproof.
- Stale knowledge. The model's training data ends at some point. Recent news, corporate actions, restatements, or material changes may not be reflected.
- Data-source errors. The underlying APIs (Yahoo Finance, Financial Modeling Prep, Brave Search, sector CSVs, etc.) may return wrong, missing, or outdated values. Jeff inherits any such errors.
- Inference, not certainty. Scenarios, conviction scores, and price targets are model judgments, not deterministic outputs. The same prompt may yield different verdicts on different runs.
- Bias. The model can carry biases from its training corpus — including biases around sectors, geographies, or company narratives.
Do not treat Jeff's output as a fact-checked, audited, or peer-reviewed document. Always verify any number you intend to act on against primary sources (SEC filings, exchange filings, company IR pages, audited financials).
6. Market & investment risks
Equity investing involves substantial risk. By using Jeff you acknowledge that:
- Capital loss. You can lose some or all of the capital you commit to any security. Some securities can go to zero.
- Past performance is not indicative of future results. Historical returns, multiples, and patterns do not predict future returns.
- Volatility. Equity prices can move sharply in short periods for reasons unrelated to fundamentals.
- Liquidity. Some securities (especially small/mid-caps and non-US listings) may be thinly traded, making it costly or impossible to exit at a given price.
- Concentration. Single-stock exposure carries idiosyncratic risk that diversified portfolios do not.
- Derivatives, leverage, shorting. If you use Jeff's output to inform options, futures, margin, or short positions, your loss can exceed your initial capital. These instruments are not Jeff's intended use case.
7. Cross-border investing — for Indian residents
If you are a person resident in India under the Foreign Exchange Management Act, 1999 ("FEMA"), and you invest in non-Indian securities (e.g. US-listed stocks) based on or after reading anything on this site:
- Your outbound remittance is governed by the Reserve Bank of India's Liberalized Remittance Scheme (LRS), currently capped at USD 250,000 per financial year per individual (subject to change).
- Such remittances are subject to Tax Collected at Source (TCS) under section 206C of the Income-tax Act, 1961, at rates and thresholds in force from time to time.
- Capital gains, dividends, and other income from foreign securities are taxable in India and must be reported in your Indian income-tax return, including Schedule FA (Foreign Assets) where applicable.
- You may be subject to US withholding tax on dividends and (in some cases) estate-tax exposure on US-situs assets. The India–US Double Taxation Avoidance Agreement may apply.
- You are solely responsible for compliance with FEMA, RBI LRS conditions, your authorized dealer's procedures, and all applicable tax law. Jeff does not check, verify, or advise on any of this.
If you are not sure whether a specific transaction is permitted under LRS / FEMA, consult a Chartered Accountant or a FEMA practitioner before transacting.
8. Conflicts of interest
I personally invest in direct equities across US and Indian markets. At any given time my personal portfolio may include long positions in securities that Jeff may research, mention, rate, or comment on. I do not currently hold short positions, derivatives, or leveraged positions on any covered security.
I receive no compensation from any issuer, broker, market-maker, exchange, fund, or third party in exchange for Jeff's output. I am not paid to rate any stock in any direction. No company has any editorial influence over Jeff's prompts, model, or pipeline.
I pay the underlying API costs (OpenRouter, FMP, Brave, hosting) personally. The service is free to use today; if it ever becomes paid, the basis of payment will be disclosed transparently. I will never accept payment to recommend a security.
9. Third-party services and data
Jeff relies on third-party services whose terms and reliability are outside my control, including but not limited to: OpenRouter (LLM routing), the underlying model providers (currently DeepSeek and others), Financial Modeling Prep (fundamentals data), Yahoo Finance (price data), Brave Search (web search), and the TraderMonty sector-uptrend CSV. The accuracy, completeness, and availability of any data Jeff surfaces depends on these third parties.
When you submit a prompt, the prompt text is transmitted to the LLM provider via OpenRouter. By using Jeff you consent to such transmission. Read OpenRouter's and the model provider's privacy policies if you intend to submit personally identifiable or confidential information — I recommend you do not.
10. Privacy and personal data
In line with the Digital Personal Data Protection Act, 2023 ("DPDPA"), I aim to collect as little personal data as possible:
- No account. The site uses a single shared password gate; I do not collect your name, email, phone, or any identifying detail to grant access.
- No chat history on the server. Your conversation threads are stored in your browser's
localStorageonly. Clearing your browser data deletes them. - IP logging for rate-limiting and abuse prevention. Your IP address is logged transiently in a server-side SQLite database to apply per-minute rate limits and detect abuse. Logs are not used for tracking, advertising, or sale.
- Prompts transit third parties. The text of each prompt is sent to OpenRouter and the relevant model provider to generate the response. I do not see, log, or retain the prompt content myself, but the third parties may.
- No cookies. I do not set tracking cookies. The site uses one JWT-style token in
localStoragefor session continuity. - No analytics. No Google Analytics, no Plausible, no Segment, no Mixpanel, no Sentry, no heatmap tools. Server access logs from nginx are kept transiently for debugging and overwritten on rotation.
If you want any data I might hold about you erased, reach me via the contact channel listed in Section 19 with reasonable identifying detail (typically just your IP address and an approximate timeframe). I will act on it as soon as practical.
11. Intellectual property
The design, code, text, and visual elements of this site (other than third-party data and AI-generated output) are owned by me, Upamanyu Acharya, and are protected by Indian and international copyright law. You may not reproduce, mirror, or republish the site or its source code without permission.
AI-generated output produced for your prompts is yours to use, subject to (a) the terms of the underlying model providers, and (b) the disclaimer that such output is not advice and may be wrong. You may quote excerpts in your own work with attribution to "Jeff (jeff.upamanyuacharya.com)" but you may not pass off Jeff's output as your own original research.
12. Acceptable use
You agree not to:
- Use Jeff to do anything illegal in your jurisdiction or in India.
- Use Jeff for automated scraping, mass-querying, denial-of-service, or to extract data for a competing service.
- Use Jeff to defame, manipulate markets, or coordinate trading activity (pump-and-dump, social-media manipulation, etc.).
- Re-publish Jeff's outputs as if they were your own SEBI-registered analyst output.
- Bypass the password gate, the rate limit, or the daily spend cap.
- Submit prompts that contain personally identifiable information of third parties without their consent.
- Use Jeff if you are under 18.
I reserve the right to block access from any IP address or rotate the access password at any time, for any reason or none.
13. Disclaimer of warranties & limitation of liability
The site and Jeff's output are provided "as is" and "as available", without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, and uninterrupted availability.
To the maximum extent permitted by applicable law, in no event shall I, Upamanyu Acharya, be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to: trading or investment losses, loss of profits, loss of capital, loss of opportunity, lost savings, lost data, business interruption, tax penalties, regulatory fines, or any other damages arising out of or in connection with your use of, or inability to use, the site or any output from it — whether based on contract, tort (including negligence), strict liability, or any other theory, even if I have been advised of the possibility of such damages.
If, despite the above, a court of competent jurisdiction finds me liable for damages, my total cumulative liability to you for any and all causes of action shall not exceed INR 100 (Indian Rupees One Hundred only).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages. In such jurisdictions, my liability is limited to the maximum extent permitted by law.
14. Indemnification
You agree to indemnify, defend, and hold harmless me, Upamanyu Acharya, from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the site or Jeff's output, (b) your breach of these terms, (c) your violation of any applicable law or third-party right, including any tax, FEMA/RBI, or securities-law violation, and (d) any investment, trading, or financial decision you make based on or after using Jeff.
15. Changes to this page
I may update this page at any time. Material changes will be reflected in the "Last updated" date at the top. Your continued use of the site after a change means you accept the new version.
16. Governing law & jurisdiction
These terms are governed by the laws of the Republic of India, without regard to its conflict-of-laws provisions. Any dispute arising out of or in connection with the site or these terms shall be subject to the exclusive jurisdiction of the competent courts at Mumbai, Maharashtra, India.
17. Severability and waiver
If any provision of these terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect. My failure to enforce any provision shall not constitute a waiver of that provision.
18. Entire agreement
These terms, together with the privacy statements above and any notices on the site, constitute the entire agreement between you and me regarding your use of the site, superseding any prior agreement.
19. Contact
For any question about these terms, a data-deletion request, or a notice of grievance, reach the operator through the contact form on upamanyuacharya.com. A response email address will be provided in reply to legitimate enquiries.
